Black Southern Baptist Denominational Servant Network

Bylaws

Article I – Membership

Section 1        

Members – The members of the Network shall include Southern Baptist denominational employees, full-time or part-time, who have paid annual dues set by the Network in a general session during the previous year (June 1 to May 31).

Section 2        

Charter Members – Charter members of the Network are those members on record at the close of the first annual meeting on June 14, 1997, at which time the Constitution and By-Laws were adopted.

 Article II – Officers

Section 1        

Officers – The Officers of the Network shall include a President, Vice President, Secretary, Treasurer, Executive Director and other officers deemed necessary by the Network.  These officers shall comprise the Executive Committee.

Section 2         

Election of Officers

1.   All officers shall be elected at the annual meeting of the Network.  The appointed nominating committee shall recommend to the Network those who have been asked and are willing to serve as officers.

 2.   In case of a vacancy, the Executive Committee shall appoint a person to fulfill the unexpired term. 

Section 3        

Terms of Office 

1.   The officers of the Network shall be elected to serve one-year terms.

 2.   The officers shall not serve more than two consecutive one-year terms in the same office, except the Executive Director. 

Article III – Duties of Officers 

Section 1        

Duties of Officers.  The duties of the officers shall be as follows:

 1.   President – The President shall preside at all regular and called meetings of the Network, serve as an ex-officio member of all committees, and shall perform other duties required by the office.

 2.   Vice President – The Vice President shall preside at the meeting of the Network in the absence of the President, and perform other duties assigned by the Network. 

3.   Secretary – The Secretary shall keep the minutes of the meeting and bring a report at each meeting.

4.   Treasurer – The Treasurer shall keep the financial records, deposit funds, and report at each regular meeting.

 5.   Executive Director – The Executive Director shall administer the program of the Network, publish the news bulletin, and serve as an ex-officio member of all committees.

Section 2    

Other Officers – The duties of all other officers elected by the Network will be approved at the annual meeting.

Section 3        

The President of the National African American Fellowship shall serve as an ex-officio member of the Network.

 Article IV – Committees

Section 1        

The Nominating Committee – The President of the Network and four elected persons shall serve on the Nominating Committee.  Duties are: (1) to recommend qualified (i.e., paid up members) nominees to serve in offices and committee assignments for the Network, and (2) the Chairman shall participate in Executive Committee conference calls.

 Section 2        

The Communications Committee - Duties are: (1) to develop and implement an approved strategy to inform members of the Network with opportunities for involvement and use of the website, (2) to produce and publish a quarterly newsletter, and (3) the Chairman shall participate in Executive Committee conference calls.

Section 3        

The Executive Committee - Duties are: (1) to lead in planning, organizing, staffing, directing, communicating, controlling, and funding the program of the Network, and (2) to participate in Executive Committee conference calls.

Section 4        

The African American Southern Baptist History Project Committee - Duties are: (1) to lead the Network in the development of strategies to preserve the history of African American Southern Baptists, (2) to publish The Journal of African American Southern Baptist History, and (3) the Chairman shall participate in Executive Committee conference calls.

Section 5        

Standing committees shall be formed and elected as deemed necessary by the Network.

 Article V – Finances

Section 1        

An annual budget shall be prepared and presented for consideration at a regular meeting of the Network.

Section 2        

Dues – The dues of the Network, as implemented by the Executive Committee, are:  Associate Individual (Student) - $25.00; Individual - $50.00; State Program - $100.00; Institutional - $250.00; and Silver (10 years) - $500.00. 

 Article VI – Meetings

Section 1        

Regular Meetings – The Network shall have regular meetings at a time(s) or place determined by vote of the membership.

Section 2        

Special Meetings – The Network shall have special meetings determined by the officers and chairpersons of the committees.

 Article VII – Amendments

 The Constitution and By-Laws may be amended at annual meetings of the Network by at least 2/3 majority of the members voting
